This document contains the complete set of legal agreements, disclaimers, and policies for HeadShotIQ, LLC ("HeadShotIQ," "we," "our," or "us"). These materials are intended for use by developers, legal advisors, and users of the HeadShotIQ platform.

Terms of Use

These Terms of Use ("TOU") constitute a binding agreement between you ("User") and HeadShotIQ, LLC. By accessing or using HeadShotIQ's website, web application, or services (collectively, the "Services"), you agree to these TOU. If you do not agree, you must not use the Services.

HeadShotIQ may include links to third-party websites such as IMDb for educational reference. These links are provided solely for informational purposes. HeadShotIQ is not affiliated with IMDb, or any film/TV studio, and does not claim any rights in the content linked. All trademarks and character references remain the property of their respective owners.

Agreement to Terms

By clicking 'I Agree' or accessing the Services, you confirm acceptance of these TOU.

Changes to Terms

HeadShotIQ may update these TOU from time to time. Continued use constitutes acceptance.

Services Provided

HeadShotIQ analyzes uploaded headshots/Images and provides type, age range, adjectives, and character references. Additional services include access to educational resources. HeadShotIQ does not provide casting calls or auditions.

Content Disclaimer & AI Output Notice

This Content Disclaimer and AI Output Notice ("Disclaimer") is provided by HeadShotIQ LLC ("HeadShotIQ," "we," "our," or "us") to inform users ("you") of the nature and limitations of the content, services, and AI-generated outputs available through the HeadShotIQ platform, including our mobile application and website (collectively, the "Services").

Informational Purposes Only

All content and insights provided by HeadShotIQ are intended solely for educational and informational purposes. The Services do not constitute professional casting advice, talent evaluation, psychological guidance, or legal recommendations. Any reliance you place on such information is strictly at your own risk.

Nature of AI Output

The HeadShotIQ platform uses artificial intelligence to analyze headshots and generate casting types, descriptive adjectives, and other insights. These outputs are generated based on algorithmic models and public datasets and may not reflect industry-wide consensus, individual casting opinions, or actual hiring decisions.

No Casting Guarantees

You acknowledge and agree that HeadShotIQ does not guarantee employment, callbacks, representation, auditions, or any form of casting success based on the use of its Services. Final casting decisions are subjective and made solely by third-party directors, producers, and casting professionals.

Subjectivity & Interpretation

AI-generated results may vary between users, headshots/images, and sessions. Users are encouraged to use professional discretion and personal judgment when applying the insights offered through the Services.

Content Accuracy

While HeadShotIQ strives to provide accurate and reliable AI analysis, we cannot guarantee that all content will be free from error or reflect every possible interpretation. The results are intended to assist actors in understanding type and marketability, and should be used as a supportive tool in combination with their own experience, representation, and industry feedback.

User Responsibility

You remain solely responsible for the content you upload, submit, or generate through the platform. You should ensure that any uploaded headshots/images or character descriptions do not violate any third-party rights or confidentiality agreements.

Liability Waiver

To the fullest extent permitted by law, you agree that HeadShotIQ shall not be held liable for any loss, claim, or damage—direct or indirect—arising from the use or reliance on AI-generated outputs, headshot analysis, or platform content.

Updates to Disclaimer

We reserve the right to modify this Disclaimer at any time. If changes are made, the updated version will be posted with a revised Effective Date. Your continued use of the Services constitutes your acceptance of the modified Disclaimer.

User Responsibilities & Image Uploads

User Responsibilities

Users agree to:

  • Upload only content they own or are authorized to use
  • Avoid offensive, unlawful, or infringing content
  • Use Services only as intended

Headshot/Image Uploads - User Rights & Consent

Users retain ownership of their headshots/images. By uploading headshots/images, you affirm that you own or have legal permission to use the image. You grant HeadShotIQ a limited license to analyze the headshot/image and provide results. HeadShotIQ will not use uploaded headshots/images for AI training, resale, marketing, or redistribution.

By uploading or submitting any headshot or image to HeadShotIQ, you agree to the following:

  1. You own the image or have full legal permission to use it. You may not upload photos that you do not have rights to, including images owned by photographers, studios, or third parties unless you have explicit permission.

  2. You grant HeadShotIQ a limited, revocable license to process the image solely for the purpose of providing your requested analysis. This license does not include the right to reuse, distribute, sell, or disclose your image for any other purpose.

  3. You consent to automated analysis of the image. The analysis is performed only to generate your results and assist with features such as Headshot Analysis, First Impressions, and Role Match.

  4. Your image is not used for training, marketing, or promotional purposes. Images are processed securely and are not shared with third parties except as required to operate the service.

  5. You are responsible for ensuring that the image does not violate any copyright, privacy, or contractual obligations. HeadShotIQ assumes no liability for images uploaded without proper authorization.

If you do not agree to these terms, do not upload or submit any images to the platform.

Payment & Billing

Payment for Services

HeadShotIQ is strictly pay-per-service. No subscriptions or recurring billing. All sales are final except as required by law.

Refunds

All sales are final except where required by law (e.g., defective delivery service). If a subscription model is introduced, Users may cancel future billing at any time; refunds for prior billing periods are not provided unless required by law.

Payment Processing

Payments are processed by third-party platform: Stripe payment processor. HeadShotIQ does not directly collect or store financial information. Users agree to comply with the terms and policies of the third-party platform.

Promotions and Discounts

Any promotional offers, trial periods, or discounts are temporary, non-transferable, and subject to the terms provided at the time of the offer. HeadShotIQ reserves the right to modify or discontinue promotional offers at any time.

International Users

If you are accessing the Services from outside the United States, you agree that Louisiana law and U.S. arbitration rules apply.

Updates & Changes

Right to Update

HeadShotIQ may update these Terms, Privacy Policy, or other policies at any time to reflect operational, legal, or regulatory changes.

Notice of Changes

Users will be notified of material changes by one or more of the following methods:

  • Posting the updated Terms within the app
  • In-app notifications at the time of the next login or service use

Effective Date

Unless otherwise specified, updates become effective upon posting. Continued use of the Services after the effective date constitutes acceptance of the revised terms.

User Responsibility

It is the User's responsibility to review the Terms periodically. If you do not agree with the updated Terms, you must discontinue use of the Services.

Legal Framework

Intellectual Property

HeadShotIQ trademarks, branding, and software remain our property. Users may not copy, reverse engineer, or misappropriate our technology or services.

Privacy and Data Protection

HeadShotIQ complies with applicable privacy laws, including GDPR, CCPA, and COPPA. Headshots/Images are stored securely and only for analysis.

Limitation of Liability

The Services are provided 'as is' without warranties of any kind. HeadShotIQ is not liable for indirect, incidental, or consequential damage arising from use of the Services. To the fullest extent permitted by law, our total liability shall not exceed the amount you paid for the Services.

Indemnity

Users agree to indemnify and hold harmless HeadShotIQ, its officers, employees, and affiliates, from any claims, damages, or expenses arising from your misuse of the Services or violation of these TOU.

Dispute Resolution

Any disputes arising under these TOU shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Class actions are not permitted. Governing law shall be the laws of the State of Louisiana, with regard to conflict of law provisions.

Miscellaneous

These TOU represent the entire agreement between you and HeadShotIQ. If any provision is found unenforceable, the remainder shall remain in full effect. HeadShotIQ's failure to enforce any term shall not constitute a waiver.

Privacy Policy

HeadShotIQ values privacy. We do not sell user data. Headshots/images are used only for analysis, report generation, and profile storage. Users can request deletion or correction of their personal data.

Image Processing & User Consent

Purpose of Processing

Images are processed only to deliver app features such as headshot analysis, character matching, and first-impression insights. We do not use your images for training our models, marketing, or any secondary purpose.

User Ownership & Permissions

By uploading a headshot/image, you confirm that:

  • You own the headshot/image or have the legal right to use it
  • You consent to having the headshot/image analyzed within the app

Headshot/images uploaded without authorization violate our Terms and may result in account restrictions.

Storage & Retention

Headshots/images that you upload are stored securely and will remain available in your dashboard for as long as you choose to keep them there. You have full control over your headshots/images and may delete them at any time. When you delete a headshot/image, it is removed from your account and from our active systems used to operate the service.

No Third-Party Sharing

We do not sell, share, or distribute your images to third parties. Images are only processed by the systems required to run HeadShotIQ.

Security

We use industry-standard security measures to protect uploaded headshots/images from unauthorized access, alteration, or disclosure.

User Controls

You can delete uploaded headshots/images or delete your account at any time.

What We Collect

  • Profile Information: Name, email, and optional profile details you choose to provide

  • Headshots/Images: Processed securely for analysis and stored in your profile

  • Analysis Reports: Generated results stored in your profile

  • Payment Information: Processed through Stripe (we don't store payment details)

  • Device & Usage Data: Technical details for app performance

  • Support Communications: Emails and messages for support

  • Email Communications (Optional): Reminders, educational content, and career tips if you opt in

How We Use Data

We use collected information to provide services, process payments, communicate with you, and improve our services. Data is not sold or rented.

Data Retention: Headshots/images and analysis reports remain stored in your profile until you choose to delete them. Payment data is retained by Stripe; communications are kept only as needed.

Your Data Rights: Users may request deletion, correction, or access to their data. Contact info@headshotiqapp.com.

Data Security: Reasonable technical and organizational measures are applied, though no system is 100% secure.

Your Rights

You have rights under applicable law (GDPR, CCPA, etc.):

Deletion

You may delete your profile, headshots/images, or analysis reports at any time directly through the app. Deletion is fully under your control and does not require a separate request to us.

Correction

You may request that we correct inaccurate or outdated information that you cannot update yourself (for example, if you contact support by email).

Access

You may request details of what data we hold about you. Contact us at info@headshotiqapp.com. We may need to verify your identity before fulfilling your request.

Payments & Third Parties

Payments

All payments are securely processed by Stripe. Stripe's policies govern how your payment data is collected, stored, and used. HeadShotIQ does not receive or store your credit card details. We may receive limited transaction information (such as receipt ID, amount, and purchase confirmation) to confirm your payment.

Third-Party Service Providers

We may use trusted third-party providers, such as cloud storage services and analytics tools, to support the operation of our app. These providers process limited data on our behalf and are bound by strict confidentiality and security obligations.

Data Sharing

We do not sell or rent your personal data to third parties. Data is shared only as necessary to provide our services.

Data Security

HeadShotIQ, LLC takes the security of your information seriously. We apply reasonable technical and organizational measures to protect the personal data we process, including stored headshots/images, analysis reports, and profile details. These measures are designed to safeguard your information against unauthorized access, alteration, disclosure, or destruction.

However, no system or method of electronic storage or transmission over the Internet is completely secure. We encourage you to use a strong password for your account and keep your login credentials confidential. Beta Tester Agreement

Selected users may be invited to test HeadShotIQ prior to official launch. By participating, Beta Testers agree to:

  • Provide feedback on features and usability
  • Not share screenshots, images, or confidential information outside the testing group
  • Understand that Services are in development and may contain bugs or errors
  • Accept that no compensation is provided for participation

HeadShotIQ reserves the right to terminate Beta Test participation at any time.
